Client Agreement

1. Agreement Overview

This Client Agreement ("Agreement") is entered into between VersaNexus LLC ("Company") and you or your organization ("Client"). This Agreement governs the use of our CRM platform, support services, and related offerings. By accessing or using our services, you agree to be bound by all terms and conditions outlined herein.

2. Services Provided

VersaNexus LLC provides the following services under this Agreement:

• Access to the VersaNexus CRM portal and client dashboard
• Technical support via ticketing system
• Software licensing and documentation access
• Regular platform updates and maintenance
• Account management and billing support

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information during registration
• Maintain confidentiality of your login credentials
• Use the platform only for authorized business purposes
• Comply with all applicable laws and regulations
• Not engage in any unlawful, harmful, or abusive activities
• Respect intellectual property rights and usage policies

4. Payment Terms

Clients agree to pay all fees as outlined in their service agreement or pricing schedule. Payments are due in accordance with the billing terms specified. Late payments may result in service suspension. All prices are subject to applicable taxes unless specifically stated as tax-inclusive.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of this engagement. This includes but is not limited to business processes, data, credentials, and strategic information. Confidentiality obligations do not apply to information that is publicly available or independently developed.

6. Limitation of Liability

To the maximum extent permitted by law, VersaNexus LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services, even if advised of the possibility of such damages.

7. Termination

Either party may terminate this Agreement with written notice as specified in the service contract. Upon termination, the Client's access to the platform will be revoked, and all data will be handled in accordance with our data retention policy and applicable law.

8. Changes to Agreement

VersaNexus LLC reserves the right to modify this Agreement at any time. Clients will be notified of significant changes via email. Continued use of the platform after changes constitutes acceptance of the updated terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi, without regard to its conflict of law principles.
