Software Licensing

1. License Grant

VersaNexus LLC grants you a non-exclusive, non-transferable, revocable license to access and use the CRM platform and related software ("Software") for the duration of your subscription or service agreement. This license is conditioned upon your compliance with all terms and conditions outlined in this document and our Terms of Service.

2. Permitted Use

You are permitted to:

• Access and use the platform for authorized business purposes
• Store and manage your business data within allocated limits
• Share access with authorized team members under your account
• Use provided APIs and integrations as documented
• Access software documentation and support materials
• Generate reports and export data as permitted by your plan

3. Restrictions

You are explicitly prohibited from:

• Reverse engineering, decompiling, or disassembling the Software
• Removing, altering, or obscuring any proprietary notices or labels
• Using the Software for any illegal, harmful, or unethical purposes
• Reselling, sublicensing, or renting the Software to third parties
• Attempting to gain unauthorized access to systems or data
• Creating derivative works or modified versions without permission
• Circumventing licensing mechanisms or usage restrictions
• Using the platform to host third-party applications or services

4. Intellectual Property Rights

All intellectual property rights in the Software, including copyrights, trademarks, patents, and trade secrets, are owned by VersaNexus LLC or its licensors. Your license does not grant you ownership of any intellectual property. You retain ownership of your own data and content submitted to the platform.

5. Updates and Modifications

VersaNexus LLC may update, modify, or improve the Software at any time. Updates may include security patches, feature additions, or changes to functionality. Critical updates may be mandatory to maintain service availability and security. We will notify you of significant changes that affect your use of the platform.

6. Third-Party Software

The Software may include third-party components, libraries, and software licensed under various open-source and proprietary licenses. Use of these components is governed by their respective licenses. Documentation regarding third-party software is available upon request.

7. License Termination

Your license terminates immediately upon expiration or cancellation of your subscription or service agreement. Upon termination, you must cease all use of the Software. Any violation of this licensing agreement will result in immediate termination of your license without refund.

8. Audit Rights

VersaNexus LLC reserves the right to audit your usage of the Software to ensure compliance with this licensing agreement. Audits may be conducted remotely or at your facility with reasonable notice. Non-compliance may result in additional fees or service termination.

9. Warranty Disclaimer

The Software is provided "as-is" without warranties of any kind, express or implied. We do not warrant that the Software will be error-free, uninterrupted, or meet your specific requirements.
